A cross-practice team from Cains has acted as Isle of Man counsel to Corsair Capital LLC (“Corsair”), advising on its successful acquisition of the majority stake in Zedra Group (“Zedra”), the global specialist in trust, corporate and fund services.
The deal, which has recently received full regulatory approval, involved 17 jurisdictions, including the Isle of Man, and Cains advised Corsair on all Isle of Man aspects of the acquisition, from due-diligence, on 20 Isle of Man targets, to regulatory applications with the Isle of Man Financial Services Authority.
Cains’ Corporate and Commercial team was led by Stephanie Chew with support from Matthew Quinn, with Tristan Head, Richard Vanderplank and Matthew Wilkinson advising Corsair on the Isle of Man regulatory aspects of the transaction.
Tristan, who jointly heads up Cains’ Corporate and Commercial team and Cains’ Regulatory team, said: “Cains has been privileged to work with Corsair and its lead advisers Proskauer Rose LLP on this transaction and look forward to developing our relationship with both in the upcoming years. Cains’ involvement in both the corporate and regulatory aspects of this deal is a strong endorsement of our reputation as the preferred Isle of Man counsel for leading sophisticated investors, as well as our ability to meet challenging deadlines set by private equity clients regardless of where they are in the world.”
