Tim has over 20 years’ legal experience practising in London, Bermuda and the Isle of Man. Tim’s practice encompasses all aspects of domestic and multi-jurisdictional banking and finance work (including acquisition and real estate finance, refinancing and restructuring, insolvency and financial services regulation) and general corporate work (including private equity and joint ventures, share and debt offerings on all major stock exchanges and mergers and acquisitions). Tim regularly advises financial institutions and corporate clients in connection with:

  • bilateral and syndicated property finance (including acting for senior and/or mezzanine lenders or on the borrower side)
  • sales and purchases of portfolios of non-performing loans
  • the establishment of orphan structures
  • debt restructurings (including debt for equity swaps)
  • equity restructurings (including by means of a scheme of arrangement)
  • formal and informal insolvency procedures (including receiver appointments and liquidations)
  • advising on netting and collateral issues in connection with exchange-traded and OTC derivative transactions and prime brokerage services

Key experience

  • advising Tristan Capital Partners in connection with the acquisition of the Priory Shopping Centre in Dartford (by Curzon Capital Partners III and Ellandi) and subsequent restructuring;
  • advising the liquidator of ISIS Investments Limited in connection with parallel schemes of arrangement in England and the Isle of Man whereby the respective claims of its creditors were compromised;
  • advising Hoi Hup Realty with respect to its refinancing of 1 Golden Lane, London EC1;
  • advising FIA Europe on Isle of Man netting and collateral issues in connection with  the FOA Netting Agreement and related documents; and
  • leading the multi-disciplinary team which advised the Sancus Group (a group of P2P lending companies) in connection with the establishment and regulation of its Isle of Man lending operation.
